Selling Your Accounting Practice? 5 Myths Worth Rethinking
Introduction
Many Accountants we speak with are contemplating selling their Accounting practice — but delay taking action because they’re unsure of what’s fact and what’s fiction.
Selling an accounting practice is a major decision, and misinformation can lead to delays, missed opportunities, or poor outcomes. Here are five myths we hear all the time from Sellers — and what we’ve seen play out in real transactions.
Myth 1: A Buyer Will Just Appear When You are thinking of Selling
It’s common to think, “I’ll know when the time is right — someone will come along.”
We spoke to someone four years ago who said he expected plenty of knocks on the door. When we spoke to him two months ago, he said no one had knocked — and now he was tired and just wanted to retire.
The Takeaway: In reality, most Sellers who wait for someone to “just appear” either end up frustrated, lose momentum, or accept the wrong deal. The best outcomes come from a structured, confidential process — not waiting for the phone to ring.
Myth 2: I Need to Change My Systems to Xero Before Selling
Many firm owners believe that upgrading to Xero or cloud-based systems will automatically boost their appeal.
Different Buyers use different systems, so if you go through the difficult process of changing systems before the sale, you may find that it will be done again post-sale to assimilate with the Buyer’s systems.
The Takeaway: Most Buyers like systems to be reasonably modern or have clients in the cloud, but it won’t necessarily affect the value of your firm. Making changes too early can add cost and disruption — only to be undone later.
Myth 3: I’ll Just Wait Until I’m Ready
It’s tempting to delay planning until you feel completely “ready.” But this can lead to missed opportunities.
What happens if a key staff member resigns? Or if your ageing client base begins to retire? These factors can affect both the value of your practice and the appeal to potential Buyers.
The Takeaway: We’ve seen this story many times. The reality is that waiting too long can mean making decisions when energy is low and options are limited.
Myth 4: I Can Just Sell It Myself
Some Vendors believe they can handle it all: valuation, meetings, negotiations, legal contracts, and managing due diligence — while still running their firm full time.
The process can be demanding and time-consuming. It often drags on for a year or more, especially when deadlines aren’t set and people are busy or on holidays. Without expert help, the Vendor has little, if any, understanding of what’s reasonable in terms of price and deal structure. In most cases, the Vendor only has one option & starting again feels exhausting. We discussed this a few months ago in our Positive Takeaways from recent transaction blog.
The Takeaway: Selling a firm is not like any other business transaction — especially when your future and your reputation are on the line. Without competitive tension and a clear process, Vendors often burn time, lose confidence, or settle for far less than expected.
Myth 5: “If I Sell, I Have to Leave Straight Away”
A common worry among Sellers is that they’ll be shown the door the moment the deal is done.
Most deals involve a structured transition — and Buyers often want the incumbent involved for a period to maintain client trust and continuity. They will look to the Buyer to understand their ideal exit strategy.
The Takeaway: You don’t need to disappear overnight. A smooth transition protects your legacy and your clients.
Closing Thoughts
“A myth is an image in terms of which we try to make sense of the world.”
Alan Watts, British-American Writer
The biggest risk isn’t making the wrong move — it’s waiting too long based on the wrong assumptions. Challenging these myths early can lead to better timing, better Buyers (plural), and a better overall outcome.
